When may the SEC suspend or revoke the certificate of incorporation of a corporation under its general powers?
The SEC is granted the general power to suspend or revoke the certificate of incorporation of any entity under its jurisdiction (SEC. 179, Revised Corporation Code of the Philippines). This drastic action can only be taken after proper notice and hearing have been provided to the corporation, ensuring due process is observed. The SEC may also dissolve or impose sanctions on corporations upon a final court order for committing or aiding in major illegal acts, such as securities violations, money laundering, or graft and corrupt practices. This power allows the SEC to enforce compliance with the Code through the threat of corporate extinction.
