What restrictions apply to the place of meetings for members of a nonstock corporation?

While the bylaws may authorize members of a nonstock corporation to hold their regular or special meetings at any place, even outside the principal office of the corporation, a specific geographic restriction remains (SEC. 92, Revised Corporation Code of the Philippines). The place of meeting shall be within Philippine territory, ensuring local jurisdiction over the proceedings. Proper notice must be sent to all members, clearly indicating the date, time, and place of the meeting. Furthermore, the corporation is required to continuously maintain an updated list of its members and their proxies, reflecting records twenty (20) days prior to any scheduled election.
