What are the requirements concerning the number and term of office for trustees in nonstock corporations?

The number of trustees in a nonstock corporation shall be fixed in the articles of incorporation or bylaws, and this number may or may not be more than fifteen (15) (SEC. 91, Revised Corporation Code of the Philippines). Trustees are elected to hold office for a term not exceeding three (3) years until their successors are duly elected and qualified. Importantly, only a member of the corporation shall be eligible for election as a trustee, except with respect to independent trustees of nonstock corporations vested with public interest. Trustees elected to fill pre-term vacancies only serve for the unexpired portion of the predecessor’s term.
