What must a corporation carefully preserve at its principal office regarding records and resolutions?
Every corporation is mandated to keep and carefully preserve at its principal office a range of important information relating to its operations (SEC. 73, Revised Corporation Code of the Philippines). This includes a record of all business transactions, ensuring a complete history of the company’s financial and commercial activities. Crucially, the corporation must also keep a detailed record of all resolutions adopted by the board of directors or trustees and of the stockholders or members. These minutes must set forth, among other things, the time, place, authorization, notice given, agenda, and every act done or ordered at the meeting, promoting accountability and transparency.
