A foreign corporation applying for a license to transact business in the Philippines must submit to the SEC a copy of its articles of incorporation and bylaws, certified in accordance with law (SEC. 142, Revised Corporation Code of the Philippines). These documents, if necessary, must also be accompanied by their translation to an official language of the Philippines. The application must be made under oath and specifically set forth key details, such as the date and term of incorporation, the address of its principal office in its home country, and the specific purpose it intends to pursue in the Philippines. A certificate attesting to the reciprocity of its home country’s laws must also be attached.
