What conditions must a foreign corporation meet regarding its home country’s laws to be eligible to transact business in the Philippines?

A foreign corporation is defined as one formed, organized, or existing under laws other than those of the Philippines (SEC. 140, Revised Corporation Code of the Philippines). Crucially, its laws must allow Filipino citizens and corporations to do business in its own country or State. This reciprocity requirement is a fundamental condition for the foreign corporation to have the right to transact business in the Philippines. After meeting this reciprocity test, the foreign corporation must then obtain a license for that purpose in accordance with this Code and secure a certificate of authority from the appropriate government agency.
