If the corporation is a stock corporation, its Articles of Incorporation must detail the amount of its authorized capital stock, the number of shares into which this capital stock is divided, and the par value of each share (SEC. 13, Revised Corporation Code of the Philippines). The Articles must also list the names, nationalities, and residence addresses of the original subscribers, along with the specific amount subscribed and paid by each on their subscription. Finally, the Articles must include a statement indicating whether some or all of the shares are without par value, if applicable, ensuring clarity on the initial equity structure.
