How must amendments to the Articles of Incorporation be indicated upon filing?

Amendments to the articles of incorporation must be clearly indicated by underscoring the change or changes made to the text (SEC. 15, Revised Corporation Code of the Philippines). A copy of the amended articles must be submitted to the SEC, duly certified under oath by the corporate secretary and a majority of the directors or trustees. This submission must also include a statement confirming that the amendments were duly approved by the required vote of the stockholders or members, thereby verifying the legitimacy of the changes. The original and amended articles together must contain all provisions mandated by law.
