How does dissolution take effect when the corporate term is shortened?
A voluntary dissolution may be effected by amending the articles of incorporation specifically to shorten the corporate term (SEC. 136, Revised Corporation Code of the Philippines). A copy of the amended articles must be submitted to the SEC for approval. Upon the expiration of this shortened term, as stated in the approved amended articles, the corporation is deemed dissolved without any further proceedings, subject only to the provisions of the Code on liquidation. Importantly, in this case of corporate term expiration, dissolution automatically takes effect the day following the last day of the shortened term, without the need for the SEC to issue a separate certificate of dissolution.
