When does the corporate existence and juridical personality of a private corporation commence?
The corporate existence and juridical personality of a private corporation organized under this Code commence from the date the SEC issues the certificate of incorporation under its official seal (SEC. 18, Revised Corporation Code of the Philippines). Prior to this, the incorporators must submit their articles of incorporation and bylaws, after the intended name has been verified and reserved. Once the certificate is issued, the incorporators, stockholders, and their successors constitute a body corporate for the designated term, unless that period is subsequently extended or the corporation is dissolved earlier in accordance with law.
