What mandatory documentation must accompany the articles of incorporation of a corporation sole upon filing with the SEC?
The articles of incorporation for a corporation sole must be verified by affidavit or affirmation of the chief archbishop, bishop, priest, minister, rabbi, or presiding elder (SEC. 110, Revised Corporation Code of the Philippines). This document must be accompanied by a copy of the SEC, certificate of election or letter of appointment of the chief archbishop or elder. This accompanying document must be duly certified to be correct by any notary public, verifying the authority of the religious leader acting as the incorporator. Upon filing these verified articles and documents, the religious leader immediately becomes a corporation sole, holding all temporalities and property in trust for the religious group.
