What is the deadline and marking requirement for a foreign corporation to file amendments to its articles of incorporation or bylaws?
Whenever the articles of incorporation or bylaws of a licensed foreign corporation are amended, the corporation must file an authenticated copy of the amended documents with the SEC within sixty (60) days after the amendment becomes effective (SEC. 147, Revised Corporation Code of the Philippines). The amended document must clearly indicate the change or changes made by using capital letters or underscoring. This mandatory filing ensures the SEC has the most current information regarding the corporation’s fundamental governance. Notably, this filing alone does not automatically enlarge or alter the purposes for which the corporation is authorized to transact business in the Philippines.
