What is necessary for the valid transfer of shares of stock, besides the delivery of the certificate?
Shares of stock are personal property and may be transferred by delivery of the certificate indorsed by the owner or their authorized representative (SEC. 62, Revised Corporation Code of the Philippines). However, no transfer shall be valid, except as between the immediate parties, until the transfer is officially recorded in the books of the corporation. The record must show the names of the parties, the date of the transfer, the certificate number, and the number of shares transferred. Furthermore, the corporation is prohibited from recording any transfer of stock against which it holds an unpaid claim in its books.
