What are the default timing and notice requirements for regular meetings of stockholders or members?

Regular meetings of stockholders or members shall be held annually on a date fixed in the bylaws; if not fixed, they shall be held on any date after April 15 of every year as determined by the board of directors or trustees (SEC. 49, Revised Corporation Code of the Philippines). Written notice of regular meetings must be sent to all stockholders or members of record at least twenty-one (21) days prior to the meeting, unless a different period is required in the bylaws, law, or regulation. This written notice may also be sent through electronic mail or other manners allowed by SEC guidelines, facilitating modern communication methods while ensuring adequate preparation time.
